TERMS & CONDITIONS
These Terms & Conditions govern the provision of creative and digital services by ASA STUDIO (“we”, “us”, “our”) to the client (“you”, “your”). By engaging our services, you agree to be bound by these Terms & Conditions.
1. Services
ASA STUDIO provides professional creative and digital services including, but not limited to:
Graphic design
Branding and visual identity
Logo design
Website design and development
- Mobile app
Video editing
Image/photo editing
Instrumental music production
The exact scope of services will be defined in a written proposal, quote, invoice, email, or agreement before work begins.
2. Quotes, Fees & Payment
All prices are communicated in advance and are valid for the period stated in the quote.
A non-refundable deposit of 50% of the total project cost is required before any work begins.
The remaining 50% balance is due upon completion of the project and before final delivery of files, designs, website access, or any other materials.
ASA STUDIO reserves the right to pause or stop work if payments are delayed.
Final deliverables will not be released until full payment has been received.
3. Revisions
Each project includes a reasonable number of revisions, as specified in the proposal or quote.
Additional revisions or requests outside the agreed scope may incur extra charges.
Major changes requested after approval may be treated as a new project and quoted separately.
4. Client Responsibilities
You agree to:
Provide accurate content, files, references, and feedback in a timely manner.
Confirm that you have the legal right to use all text, images, videos, logos, music, fonts, and materials supplied.
Review and approve work carefully before final confirmation.
ASA STUDIO is not responsible for errors approved by the client, including spelling, content, layout, or technical issues.
5. Intellectual Property & Ownership
Ownership of the final approved work is transferred to the client only after full payment has been received, unless otherwise agreed in writing.
ASA STUDIO retains ownership of all preliminary concepts, drafts, unused designs, and rejected materials.
ASA STUDIO reserves the right to showcase completed projects in its portfolio, website, and social media for promotional purposes, unless otherwise agreed in writing.
6. Third-Party Services
ASA STUDIO may recommend or assist with third-party services such as:
Website hosting
Domain registration
Plugins, themes, fonts, software platforms
Stock media or external tools
ASA STUDIO is not responsible for the performance, availability, pricing, or security of third-party services.
7. Security Disclaimer
ASA STUDIO takes reasonable steps to protect data within systems directly under its control. However, we are not responsible for security breaches involving:
Client-managed accounts
Third-party platforms or services
Hosting, domains, email systems, or software not owned or managed by us
Clients are responsible for securing their own accounts, passwords, and access credentials.
8. Websites & Digital Services
Website projects do not include ongoing maintenance unless stated in writing.
ASA STUDIO is not responsible for issues caused by:
Client modifications
Plugin or theme conflicts
Hosting or server changes
Third-party software updates
SEO results, rankings, traffic, or sales performance cannot be guaranteed.
9. Delays
Project timelines depend on client cooperation. Delays in providing content, approvals, or feedback may affect delivery timelines and do not constitute a breach of contract.
10. Cancellations & Termination
Either party may terminate the project with written notice.
The 50% deposit is non-refundable once work has started.
Any completed work up to the cancellation date remains payable.
11. Limitation of Liability
To the maximum extent permitted by law, ASA STUDIO shall not be liable for:
Indirect or consequential losses
Loss of profits, data, or business opportunities
Issues caused by third-party services or client-managed systems
Our total liability is limited to the amount paid for the services provided.
